Terms of Service

Welcome to SupaKera. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "User"), and SupaKera Ltd ("SupaKera", "we", "us", or "our"), concerning your access to and use of the SupaKera website, mobile application, and any other related services (collectively, the "Platform").

Please read these Terms carefully before using our Platform. By accessing or using any part of the Platform, you agree to become bound by these Terms and our Privacy Policy. If you do not agree to all the terms and conditions of this agreement, then you may not access the Platform or use any of its services.

1. Definitions

  • "Platform" refers to the SupaKera website, mobile applications, and associated digital services.
  • "User" refers to any individual or entity that accesses or uses the Platform.
  • "Merchant" refers to third-party vendors, restaurants, grocery stores, and retail shops that list their products for sale on the Platform.
  • "Kera Rider" refers to independent contractors who provide delivery services to transport products from Merchants to Users.
  • "Products" refers to the food, groceries, retail items, and other goods offered by Merchants on the Platform.

2. The SupaKera Platform Service

SupaKera operates a technology platform that connects Users with independent Merchants and Kera Riders. SupaKera itself does not prepare, sell, or provide the Products, nor does it provide the delivery services directly.

When you place an order on the Platform, you are entering into a direct contract with the Merchant for the purchase of the Products, and a direct contract with the Kera Rider for the delivery service. SupaKera acts solely as a technological facilitator and, where applicable, a limited payment collection agent for the Merchants and Kera Riders.

We do not guarantee the quality, safety, or legality of the Products provided by Merchants, which are strictly the responsibility of the Merchant in compliance with the Ghana Standards Authority (GSA) and Food and Drugs Authority (FDA) Ghana regulations.

3. Eligibility and Account Registration

To use certain features of the Platform, you must register for an account. By creating an account, you represent and warrant that:

  • You are at least 18 years of age, or the legal age of majority in your jurisdiction.
  • You have the legal capacity to enter into these Terms.
  • All registration information you submit is truthful, accurate, current, and complete.
  • You will maintain the accuracy of such information and promptly update it as necessary.

You are entirely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify SupaKera immediately of any unauthorized use of your account. For enhanced security, we may require verification using your Ghana Card (National Identity Authority) or alternative legitimate Ghanaian identification methods.

4. User Restrictions and Acceptable Use

As a User of the Platform, you agree not to:

  • Use the Platform for any illegal or unauthorized purpose, including violating any laws of the Republic of Ghana.
  • Submit false, misleading, or deceptive information.
  • Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
  • Interfere with, disrupt, or create an undue burden on the Platform or the networks or services connected to the Platform.
  • Harass, annoy, intimidate, or threaten any of our employees, agents, Merchants, or Kera Riders engaged in providing any portion of the Platform services to you.
  • Upload or transmit viruses, Trojan horses, or other harmful material.

5. Ordering, Pricing, and Payments

5.1 Orders

All orders are subject to product availability and acceptance by the relevant Merchant. SupaKera and the Merchant reserve the right to refuse or cancel any order for any reason, including errors in pricing or product descriptions.

5.2 Pricing and Taxes

Prices listed on the Platform are in Ghana Cedis (GHS). Prices are determined by the Merchants and are generally inclusive of applicable taxes, including but not limited to Value Added Tax (VAT), National Health Insurance Levy (NHIL), GETFund Levy, and COVID-19 Health Recovery Levy. SupaKera charges a delivery fee and, where applicable, a service fee, which will be clearly displayed before you confirm your order.

5.3 Payment Methods

We accept major Mobile Money providers in Ghana (MTN Mobile Money, Telecel Cash, AT Money) and valid debit/credit cards. By submitting payment details, you authorize SupaKera (or our third-party payment processors) to charge your chosen payment method for the total order amount. Applicable Electronic Transfer Levies (E-Levy) mandated by the Electronic Transfer Levy Act, 2022 (Act 1075) may apply and are the responsibility of the User.

6. Cancellations and Refunds

Order Cancellation by User: You may cancel an order without charge only before the Merchant accepts the order. Once the Merchant accepts and begins preparation or processing, you may not cancel the order, and you will be charged the full amount.

Refunds: If you receive defective, incorrect, or missing items, you must report this to SupaKera customer support within 24 hours of delivery. SupaKera will investigate and, at its sole discretion or in coordination with the Merchant, may issue a partial or full refund, or a platform credit.

7. Intellectual Property Rights

Unless otherwise indicated, the Platform is our proprietary property, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.

8. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will SupaKera, its affiliates, directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Platform, the Products, or the delivery services.

Our aggregate liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to SupaKera for the services giving rise to the claim during the one (1) month period prior to any cause of action arising.

9. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the Platform; (2) breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; or (4) your violation of the rights of a third party.

10. Governing Law and Dispute Resolution

These Terms and your use of the Platform are governed by and construed in accordance with the Laws of the Republic of Ghana.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be settled amicably by mutual negotiation. If the dispute is not resolved within thirty (30) days of commencement of mutual negotiation, the dispute shall be submitted to the exclusive jurisdiction of the High Court of Ghana, Accra.

11. Modifications to the Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates.
